Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of the Tabless platform ("Service"), a software-as-a-service digital menu and ordering system operated by Tabless ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.
2. The Service
Tabless provides a commission-free digital menu platform that enables restaurants to display menus via QR codes, accept orders, and manage their operations. The Service includes:
- Digital menu creation and management
- QR code generation for table-side ordering
- Order management and kitchen display
- Billing and payment tracking
- AI-powered menu assistance (where enabled)
3. Pricing and Payment
Pricing model: 1 penny (GBP 0.01) per unique QR scan per day, per branch. There is no commission on orders, no monthly subscription fee, and no setup fee.
Invoicing: invoices are generated monthly and sent by email. Payment is due within 14 days of the invoice date.
Late payment: if payment is not received by the due date, a late fee multiplier may be applied. The total amount due shall not exceed 3 times the original invoice amount. We reserve the right to suspend your account if invoices remain unpaid for more than 30 days.
4. Data Controller and Processor Roles
For the purposes of the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018:
- The restaurant is the data controller for customer data (diner orders, table information).
- Tabless is the data processor, processing data on behalf of the restaurant to deliver the Service.
- Tabless is the data controller for restaurant owner/staff account data and billing information.

5. Your Obligations
- You must provide accurate registration information.
- You are responsible for maintaining the confidentiality of your account.
- You must ensure your menu content complies with applicable UK food labelling and allergen regulations.
- You must not use the Service for any unlawful purpose.
- You are responsible for informing your customers about data collection in accordance with UK GDPR.
6. Service Availability
We aim to provide a reliable service but do not guarantee any specific uptime or service level agreement (SLA). We may perform scheduled maintenance with reasonable notice. We shall not be liable for any downtime, data loss, or service interruption beyond what is required by applicable law.
7. Limitation of Liability
To the fullest extent permitted by law:
- Our total liability for any claim arising from the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
- We are not liable for the accuracy of menu content, allergen information, or pricing set by the restaurant.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
8. Intellectual Property
All intellectual property in the Tabless platform (software, design, trademarks) remains our property. You retain ownership of your menu content and data. By using the Service, you grant us a limited licence to process your data solely to deliver the Service.
9. Termination
You may close your account at any time. Upon termination, any outstanding invoices remain due. We may terminate or suspend your account for breach of these Terms or non-payment, with reasonable notice where practicable. On termination, you may request export of your data within 30 days.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
11. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
